PPS, APTA Banner Advertising
Policy and Specification Agreement
The following is
the general advertising policy and specification Agreement
that governs all Banner Advertising on the PPS, APTA web
site (the “Agreement”). The Agreement may change
from time to time, and without notice, except with regard
to monthly price and term. Customer agrees that it is Customer’s
responsibility to check the Agreement prior to submission
and during its use to ensure that you have read and understand
all applicable terms and conditions.
By submitting a
Banner Advertisement for publication on the PPS, APTA website,
you agree to be bound by the terms and conditions of this
Agreement and acknowledge that the Agreement is binding
between you (the “Customer”) and PPS, APTA,
its assignees, agents and subcontractors (“PPS, APTA”).
Specifications
for Web Advertising:
All Web Advertisement must be complete and ready to upload
and comply with the following specifications:
• All advertisement
will be clearly distinguishable from PPS, APTA content to
avoid any confusion between advertising and PPS, APTA content.
This determination shall be made at the sole discretion
of PPS, APTA.
• Customer warrants that it is the sole owner of the
advertisement and/or possesses sufficient rights to license
its use to PPS, APTA for the purposes of this Agreement.
• PPS, APTA, its assignees, agents and/or subcontractors
will have sole discretion for determining what types of
advertising will be accepted. Under no circumstance should
acceptance of Banner Advertising be considered an endorsement
of the services and/or products advertised. Customer agrees
not to verbally claim such endorsement or state or suggest
such endorsement in any of its marketing or promotional
materials.
• Customer agrees to respect and adhere to PPS, APTA’s
current Privacy Policy (which may be amended from time to
time without notice), and shall not attempt to individually
identify users or obtain unauthorized access to proprietary
and/or confidential information about PPS, APTA members.
• Customer may request a specific location for its
Banner Advertisement on the website, if desired. PPS, APTA,
its assignees, agents and/or subcontractors will attempt
to fulfill all requests on a first-come, first-serve basis.
However, PPS, APTA, its assignees, agents and/or subcontractors
retain the exclusive right to assign or reassign the location
and placement of all Banner Advertisements.
• PPS, APTA reserves the right to reject, cancel and/or
remove any advertisement from its website at any time, for
any reason, and will notify Customer and provide an explanation
to the Customer following such action.
• Customer agrees that it is the sole responsibility
of the Customer to ensure that all advertising complies
with all applicable local, state, national and/or foreign
laws.
• Customer promises and agrees to indemnify and hold
harmless PPS, APTA, its assignees, agents and/or subcontractors
from and against all losses, allegations, claims, expenses
(including reasonable attorneys’ fees), suits, damages,
costs, demands or liabilities, arising from any and all
claims and/or lawsuits for copyright, slander, libel and/or
trademark violation as well as any and all other claims
or allegations relating to or resulting from placement of
Banner Advertisements, and/or any other services provided
for, or as a result of, this agreement.
• PPS, APTA Banner Advertisement space is provided
on an as is, as available basis. PPS, APTA, its assignees,
agents and/or subcontractors gives no warranties, express
or implied, for any and all services provided, including
but not limited to warranty of merchantability and warranty
of fitness for a particular purpose. Furthermore, PPS, APTA,
its assignees, agents and/or subcontractors makes no warranties
and/or guarantees for the success of the Banner Advertisement(s).
• Customer agrees that PPS, APTA is not responsible
for interruptions Banner Advertisement service for any reason,
and further agrees that the extent of PPS, APTA’s
responsibility with respect to interruptions and discontinued
service is to provide reasonable inquiry into the interruption
or discontinuance and request the restoration of service
from the appropriate party, if appropriate.
• If any provision of this Agreement shall be held
or made invalid or unenforceable by a court decision, statute,
rule or otherwise, the remaining provisions of this Agreement
shall not be affected thereby and remain in full force.
• This Agreement is non-transferable and shall be
governed by the laws of the District of Columbia.
• Customer agrees that the limit of PPS, APTA liability
to Customer under this Agreement, for any reason, is limited
to the amounts paid by Customer to PPS, APTA in the last
three (3) months.
